Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, products, and services provided by Frameshft Pte. Ltd. ("Frameshft," "we," "us," or "our"), including our website at www.frameshft.com, entrance systems, installation, and maintenance services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and authorised to bind the entity on whose behalf you are engaging Frameshft. By using the Services, you represent that you meet these requirements.

2. Description of Services

Frameshft designs, supplies, installs, and maintains automatic entrance and access systems for commercial, healthcare, hospitality, industrial, government, and institutional environments. Our Services include:

  • Engineering consultation and site assessment
  • Supply of Frameshft-engineered automatic door operators and accessories
  • Installation and commissioning to applicable standards (DIN18650-1, EN16005, BS EN1026, BS EN12207, BCA accessibility codes)
  • Preventive maintenance and multi-brand servicing contracts
  • Genuine spare parts supply
  • Retrofit and modernisation of existing entrance systems

3. Quotations and Agreements

Pricing is provided by individual quotation based on the scope, environment, and specification of each project. A quotation is valid for the period stated on its face. Engagement of Frameshft is governed by the project agreement, service contract, or purchase order executed by both parties, which prevails over these Terms in case of conflict.

4. Site Access and Customer Responsibilities

Where Services are performed on your premises, you agree to:

  • Provide safe, lawful, and timely access to the site
  • Disclose known hazards (electrical, structural, biohazard, asbestos, or otherwise)
  • Provide accurate information about existing systems, drawings, and as-built conditions where available
  • Ensure compliance with site safety protocols (PPE, permit-to-work, infection control, etc.)
  • Designate a point of contact for site decisions

Frameshft is not responsible for delays or additional costs arising from site access issues, undisclosed conditions, or instructions from unauthorised personnel.

5. Warranty

5.1 Workmanship and Equipment

Frameshft warrants that installation workmanship and supplied Frameshft-brand equipment will be free from material defects for the period specified in your project agreement (default: twelve (12) months from handover, unless otherwise stated).

5.2 Exclusions

The warranty does not cover:

  • Damage from misuse, vandalism, force majeure, or unauthorised modification
  • Wear-and-tear parts beyond their rated cycle life
  • Defects in third-party-supplied components not specified by Frameshft
  • Failures arising from interruption of preventive maintenance after handover

5.3 Certifications

Frameshft systems are supplied with applicable certification documentation (TÜV, COC, CE/LVD, DIN18650-1, EN16005, BS EN1026, BS EN12207). Ongoing compliance is contingent on the maintenance regime specified in the project handover.

6. Intellectual Property

All intellectual property rights in Frameshft-designed operators, control logic, technical drawings, and documentation are owned by Frameshft. These Terms do not grant you any rights to use Frameshft's trademarks, logos, or brand features without prior written consent. You retain ownership of any drawings or data you provide to Frameshft for project purposes; you grant Frameshft a limited licence to use them solely for delivering the Services.

7. Confidentiality

Each party shall keep confidential any non-public information disclosed by the other in connection with a project, and shall use it only for purposes of performing the Services. This obligation survives termination.

8. Acceptable Use of Website

You agree not to:

  • Use the website for any unlawful purpose
  • Submit false, misleading, or fraudulent enquiry information
  • Attempt to reverse-engineer, decompile, or disassemble any part of the website
  • Interfere with or disrupt the integrity or performance of the website
  • Access the website through automated means (bots, scrapers) without authorisation

9. Disclaimers

THE WEBSITE AND ANY NON-CONTRACTED INFORMATIONAL CONTENT IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAMESHFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT IN RELATION TO THE WEBSITE.

Project-specific warranties for installed equipment and Services are governed exclusively by Section 5 and the executed project agreement.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAMESHFT'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO FRAMESHFT UNDER THE RELEVANT PROJECT AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL FRAMESHFT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST PRODUCTION, OR BUSINESS INTERRUPTION.

Nothing in these Terms limits liability that cannot be limited under Singapore law (including liability for fraud, death, or personal injury caused by negligence).

11. Indemnification

You agree to indemnify and hold harmless Frameshft and its officers, directors, employees, and agents from any third-party claims, losses, or damages arising from:

  • Your breach of these Terms
  • Your violation of any applicable law or regulation
  • Misuse or unauthorised modification of installed Frameshft systems

12. Termination

Either party may terminate a project agreement or service contract in accordance with its terms. Frameshft may suspend or terminate your access to the website immediately if you breach these Terms. Termination does not affect either party's accrued rights or obligations.

13. Governing Law

These Terms are governed by the laws of the Republic of Singapore. Any dispute arising out of or in connection with these Terms, including any question regarding existence, validity, or termination, shall be referred to and finally resolved by the courts of Singapore, save where the parties have agreed to arbitration in the relevant project agreement.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on our website and update the "Effective Date" above. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
